Position detail
The College is seeking applications from suitably qualified and committed individuals who can bring a range of governance, compliance, and organisational skills, as well as high level efficiency to support the Board of directors.
As a governance specialist for the College, this position plays an important role in supporting the Board to effectively meet its responsibilities and obligations under the Australian Charities and Not for Profit Commission (ACNC) Act, the Corporations Act 2001, and other applicable legislations.
The scope of the position includes compliance and governance activities while working closely with the Board and Audit and Risk Committee to manage ongoing company secretarial and board governance requirements. This includes periodic compliance reviews against all key frameworks including its constitution and regulations.
In addition, as an Officer under the Corporations Act, the position has many of the same duties and obligations as a director.
As the Board / Company Secretary, the role:
Term
The initial term for this position will be two years, starting as Board Secretary while the Directors achieve a level of comfort with the successful applicant, before formal appointment as Company Secretary with ASIC. The incumbent can be re-appointed by the Board for further terms.
Honorarium
While the role is volunteer, a small honorarium will be provided, as well as reasonable travel and other expenses in relation to performing the role will be met by the College.
Commitment
The Board meets approximately 7-8 times per year, usually with two face-to-face full day meetings held in Sydney or with the College’s international conference. Online meetings are usually bi-monthly on a Monday from 1:30pm – 4:30pm AEST/AEDT.
The Audit and Risk Committee meets 4-5 times per year. All meetings are online on a Monday from 2pm – 4pm AEST/AEDT.
The total expected time commitment is 8 hours per month, including attendance at meetings, preparation for meetings, minutes, and action items.
